Spok’s Code of Conduct is the cornerstone of our corporation, providing employees with clear standards, helpful examples, and guidance on ethical decision-making. A 24/7 compliance hotline is available to all employees, vendors, and external stakeholders. Reports are kept anonymous where permitted by law, and retaliation is strictly prohibited. 100% of employees completed mandatory training in 2025.

Spok prohibits all corrupt practices, unethical payments, bribes, and kickbacks across all business matters. Our policy and Vendor Code of Conduct require adherence to the Foreign Corrupt Practices Act, the UK Bribery Act, and applicable antitrust laws. 100% of employees completed training in 2025. No political activities or lobbying were conducted during 2025.

Spok recognizes the legal and compliance risks associated with Conflict Minerals. We disseminate our Conflict Minerals Policy to suppliers and use commercially reasonable efforts to obtain supplier commitments to comply. Our full policy is available on our website.

Our Vendor Code of Conduct outlines ethical expectations for all suppliers, partners, contractors, and third parties. We conduct annual compliance audits on a subset of suppliers. Vendors are expected to uphold human rights, maintain anti-corruption policies, and act with integrity in accordance with applicable laws.

Spok acknowledges the scientific consensus on climate change and the material risk it poses to our supply chain, operations, and customers. Our Environmental Management System (EMS) outlines management, risk mitigation, and compliance requirements across all global locations. We are committed to reducing our GHG footprint and engaging constructively with industry peers, value chain partners, and policymakers to accelerate the transition to a low-carbon economy. Our goal is to decrease our carbon footprint by 5% in 2026.

Spok’s waste minimization program diverts thousands of pounds of electronic and communications equipment from landfills annually. We collect and reuse over 65% of communications equipment each year, recycling the remainder. Materials recycled include telecommunications equipment, batteries, wood poles, electronics, copper wire, fluorescent lamps, and fleet oil. We use R2- or e-Stewards-certified vendors for responsible disposal.

Spok is transitioning its fleet to flex-fuel vehicles while reducing overall vehicle count. In 2025, flex-fuel vehicles outpaced standard vehicles in our fleet mix. We continue to optimize dispatching to minimize miles driven. Fuel consumption decreased in 2025 as flex-fuel adoption increased. Full EV electrification remains a challenge given the lack of suitable commercial-scale EV options for our operational requirements.

As a technology and communications company, direct water usage is minimal. Spok continues to decrease water consumption year-over-year, in parallel with reducing our overall carbon footprint. We are exploring additional monitoring capabilities to better understand and identify opportunities for further water use reduction.

There is no higher priority at Spok than protecting our systems, networks, and customer data. Our program is aligned with the NIST Cybersecurity Framework and independently validated via SOC 2 Type II audit.

In 2025, Spok did not experience any identified data losses or breaches. All employees, interns, and temporary staff receive information security and privacy training multiple times per year, with monthly awareness reminders. External penetration testing and multi-layer vulnerability scanning are conducted annually.

Spok operates the nation’s largest paging coverage footprint, with redundancy throughout network operations designed to maintain service during floods, hurricanes, pandemics, and other crises. Thousands of volunteer hours contributed by team members in 2025, strengthening communities across the country.
